1. Acceptance of Terms
By accessing and using the platform valexionis.com, operated by Valexionis S.A. (Tax ID 30-71892456-3), you accept these Terms and Conditions in their entirety. If you do not agree with any provision, we ask that you do not use the platform. These terms constitute a binding agreement between you (the user) and Valexionis S.A., governing access to and use of the real estate crowdlending services offered.
2. Description of Service
Valexionis operates a digital real estate crowdlending platform that connects investors with construction and urban development projects in Argentina. The platform facilitates collective investment in real estate ventures, allowing multiple investors to participate with capital contributions in projects that would be individually inaccessible. Valexionis acts as a technological intermediary and does not guarantee specific returns on investments made.
3. Registration and User Account
To use investment services, you must create an account providing truthful, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your access credentials and all activities carried out under your account. Valexionis reserves the right to verify your identity in accordance with the requirements of anti-money laundering regulations (Law 25,246) and the UIF. We may request additional documentation at any time.
4. Investment Conditions
Each project published on the platform includes detailed information about participation conditions, minimum amounts, estimated terms, and profit distribution structure. By investing in a project, you accept the specific conditions established for that project. Investments are subject to the inherent risks of the real estate market and crowdlending. There is no guarantee of return on invested capital.
5. Investment Risks
Real estate crowdlending involves risks that you should consider before investing: — Risk of partial or total loss of invested capital. — Risk of delays in project execution. — Risk of variation in estimated returns. — Illiquidity risk: investments may not be easily convertible to cash before project maturity. — Risks associated with fluctuations in the Argentine real estate market and macroeconomic factors. Valexionis does not provide financial advice. We recommend consulting with a professional before making investment decisions.
6. Intellectual Property
All content on the platform (texts, graphics, logos, icons, images, software, and source code) is the property of Valexionis S.A. or its licensors and is protected by Argentine and international intellectual property laws. Reproduction, distribution, modification, or commercial use of any content without prior written authorization from Valexionis S.A. is prohibited.
7. Limitation of Liability
Valexionis S.A. shall not be liable for: — Losses arising from investments made through the platform. — Technical service interruptions due to causes beyond our control. — Damage caused by computer viruses or third-party attacks. — Inaccuracies in information provided by project developers, without prejudice to our verification processes. Our maximum liability in any case is limited to the amount of commissions effectively received in connection with the transaction in question.
8. Dispute Resolution
Any dispute arising from the interpretation or execution of these terms shall be submitted to the jurisdiction of the Commercial Courts of the City of Buenos Aires, with the parties waiving any other venue or jurisdiction that may correspond to them. Prior to judicial proceedings, the parties agree to attempt an amicable resolution through mandatory mediation pursuant to Law 26,589.
9. Modifications
Valexionis S.A. reserves the right to modify these terms at any time. Substantial changes will be communicated at least 30 days in advance through the platform and/or email. Continued use of the platform after notification implies acceptance of the new terms.
10. Applicable Law
These Terms and Conditions are governed by the laws of the Argentine Republic, in particular: — Civil and Commercial Code of the Nation. — Law No. 27,349 on Support for Entrepreneurial Capital. — National Securities Commission regulations applicable to Collective Financing Platforms. — Law No. 25,326 on Personal Data Protection. — Law No. 24,240 on Consumer Protection.
